Mike is the managing partner of Winston’s Houston office, co-chair of the firm’s Capital Markets Practice, and a member of the firm’s Executive Committee. He focuses his practice on corporate finance and securities law, including securities offerings, public company advisory, special purpose acquisition company offerings, private equity and venture capital transactions, mergers and acquisitions, and general corporate representation. 

Mike regularly counsels public companies on strategic transactions, capital markets offerings, and general corporate and securities law matters. He represents both issuers and underwriters in U.S. and non-U.S. capital markets transactions, including IPOs and direct listings, and advises on corporate governance and securities market regulation. Mike routinely assists clients from many different industries, including, among others, energy & infrastructure, healthcare & life sciences and technology and new media.

Mr. Wallace has advised companies across multiple industries, with particular experience in healthcare and industrials. Within healthcare, he focuses on labs and diagnostics, pharma services, post-acute care and behavioral health.

T.J. Wallace has been a corporate finance professional for almost twenty years, including over a decade in investment banking. He has experience in strategic advisory, including sell-side and buy-side of public and private companies and carve-outs, as well as equity and debt financings. Most recently, Mr. Wallace was a member of the Middle Market investment banking group at BofA Securities (Bank of America) and was previously a member of the Mergers & Acquisitions group at BofA, Prior to this, he held roles in the healthcare investment banking coverage group at Jefferies and Industrials investment banking coverage group at Deutsche Bank.

Mr. Wallace earned a Bachelor of Science degree in Management and History from Bucknell University and a Master of Business Administration from The Johnson School at Cornell University. He is a registered securities professional holding FINRA Series 79 and 63 licenses.

Joseph DaGrosa, Jr. is the Founder and Chairman of DaGrosa Capital Partners LLC (“DCP”). Mr. DaGrosa has over 30 years of experience in successfully investing across a wide range of industries including sports & entertainment, retail, food & beverage, insurance, real estate, hospitality, healthcare, and aviation. To date, Mr. DaGrosa has led investments of approximately $2 billion in capitalized transactions.

Mr. DaGrosa also serves as Chairman of a number of DCP’s portfolio companies including: Axxes Capital, an asset management platform focused on providing investment solutions to the underserved accredited investor marketplace worldwide; Kapital Football Group LLC, a soccer platform holding company that invests in controlling and influential minority stakes in leading soccer clubs and academies globally; and Soccerex Ltd., the world’s largest organizer of soccer business conferences. Mr. DaGrosa also served as Chairman of GACP Sports LLC, which acquired F.C. Girondins de Bordeaux, a first division French soccer team.

In 2019, Mr. DaGrosa co-founded and served as Co-Chairman of Quinn Residences, a $900 million real estate investment trust focused on the acquisition and development of single-family home rentals in prime rental-growth markets throughout the United States. Quinn Residences is now one of the fastest growing companies in the single-family home rental market.
