Getting a company ready for sale is about far more than deciding to exit—it’s about presenting a business that buyers can underwrite with confidence. This session brings together a former owner, a private equity investor, an M&A advisor, and deal counsel to examine what company readiness really means. Panelists will explore how financial reporting, management depth, systems, contracts, and operational discipline can reduce risk, accelerate diligence, and position a business to attract stronger offers and smoother closings.

He founded the Transaction Advisory Services practice, works closely with many of the region’s most prominent sources of capital, and hosts the firm’s innovative quarterly DealMakers events that bring entrepreneurs, private equity professionals and operating businesses together to help facilitate transactions.

Rich Frizzell

As a Partner in our Transaction Advisory Services practice, Rich Frizzell is dedicated to bringing the Power of More® to clients who are buying, selling or merging a business. Rich leads an experienced team that coordinates and executes buy-side and sell-side financial due diligence engagements, quality of earnings (QOE) reports, and financial analysis for M&A clients. He has deep experience working with clients in a wide range of industries, including manufacturing & distribution, construction, architecture & engineering, and professional services.

Rich began his career at Gray, Gray and Gray in 2012 as member of the firm’s Audit & Assurance practice group. This experience has given him a strong understanding of accounting and financial reporting for companies of varying sizes and stages of growth, which he applies to every engagement.

Rich is a cum laude graduate of Saint Anselm College, where he earned a Bachelor’s degree in Accounting. Rich also holds a Master’s degree in Accounting from Northeastern University. He is a member of the American Institute of Certified Public Accountants (AICPA) and the Massachusetts Society of CPAs (MassCPAs).

Mr. Townsend is the CEO of Townsend Energy Group serving customers in MA, NH, and ME. Townsend is one of the largest heating oil and propane distributors in New England, serving residential and commercial customers in Massachusetts, New Hampshire, and Maine.

Mr. Townsend has been and continues to be active in several organizations representing the petroleum industry. Those positions include current Chairman of NAORE, past Chairman of NORA, current member of the NORA Executive Committee, past Chairman of the National Heating Oil Task Force, past Co-Chair of the PMAA Heating Fuels Committee, past President of NEFI, past Chairman of the NEFI Legislative Committee, past Chairman of the NEFI Finance Committee, current member of NEFI Board of Directors and Executive Committee, member Massachusetts Energy Marketers Association, member of Oil Heat Council of New Hampshire, member of Maine Energy Marketers Association, and member of Propane Gas Association of New England. Currently, Mr. Townsend is the Chairman of the Board of Energi Inc., Chairman of Townsend Insurance Group LLC and past Chairman of the TOV Insurance Group.

He has been the recipient of the NEFI Charles Burkhart award for distinguished industry service, as well as the Theodore Roosevelt award from the Independent Connecticut Petroleum Association. He also serves as a Trustee of the Salisbury School in Salisbury, CT.​
